Our long-term goal is to develop a pipeline of greenfield projects of over 2 GWp.

As a Head of M&A and Transactional Legal you will lead the M&A transactions in the CEE & LATAM region along with other members of the transactional team and play a key role in ensuring that the acquisition and divestment procedures and regulatory compliance are adhered to.

Job responsibilities:

- Lead and manage the M&A and Transactional team based in Prague.

- Manage transactional activity of SOLEK Group in CEE & LATAM region, assign tasks, monitor the deals, provide consultations to the lawyers working on deals.

- Lead and negotiate transactions to their successful signing/closing, liaise with the representatives of the sellers/buyers,

- Work with external counsel to prepare, review and negotiate key transaction-related documentation, including NDA and exclusivity agreements, letters of intent/head of terms, review the due diligence reports and report on the red flag findings, review comment SPA or asset purchase agreements and make sure the red flag findings are reflected in the transactional documentation,

- assist M&A team with the planning of legal due diligence and analysis of key legal risks, securing of regulatory consents, satisfaction of conditions precedent and coordination of signing/closing

- along with the M&A team and Banking/Finance team, provide full support to the transaction making sure all appropriate finance documentation is in place)

- draft and prepare documentation in specific deals, such as terms sheets, various agreements such as side letters and review of key marketing/offering documents as well drafting or commenting legal policies and procedures

- prepare, review, and negotiate intragroup agreements and other contracts relating to day-to-day commercial, tax and financial matters

- monitor and report compliance with regulatory requirements and internal legal policies and procedures

Your post qualification experience will be at 8+ years at a top-tier law firm or alternatively coupled with in-house experience, ideally with regional exposure. Practical and hands approach and experience with complex mergers and acquisitions including due diligence management, team leadership and agreement negotiation and drafting will be vital in this role. You will also have real estate sector experience. You will be a team player. You will lead by example.

Your senior management skills on complex legal matters will be necessary in this role. You will be a solution-oriented thinker with an ability to balance business and legal risks, not only identifying problems but also suggesting workable alternatives to meet desired goals.

You will enjoy working in a fast paced and dynamic environment and enjoy assuming responsibility and be able to work autonomously with minimal supervision. You will have excellent verbal and written communication skills with a strong eye for detail, and finally, you will be fluent in English.
